商法は、企業組織等の取引活動を規律する制度として、取引効率向上と取引安全維持などの需要が求められ、民法とは異なる色彩を有している。一方、国内外の取引環境の急速的変動により、商法典の形骸化と商事特別法の肥大化が進めているため、商法典の再編纂作業の動きも水面下で行われている。
この授業の目的は、上記の問題意識に照らして商人・商行為の特徴を検討し、現行の商法の合理性・非合理性を明らかにすることである。

As a system that regulates the transaction activities of business organizations, etc., Commercial Code has a different color from Civil Code, as it is required to improve the transaction efficiency and maintain the transaction security. On the other hand, due to the rapid changes in the domestic and international trade environment, the Commercial Code has become a skeleton and the special commercial laws have become bloated, and there is a movement to recompile the Commercial Code.
The purpose of this lecture is to examine the characteristics of merchants and commercial practices in light of the above issues, and to clarify the rationality and irrationality of the current Commercial Code.
私法上の法律関係やこれをめぐる民事裁判手続は、一国（日本）の中で自己完結するとは限らない。現実の裁判においては、例えば、外国に所在する者との間の物品売買契約にはいずれの国又は地域の実体法（日本法とは限らない。）が適用されるのか、このような者に対して日本で訴えを提起できるのか、できるとしてどのような手続が必要になるのか、といった問題が発生する。
そこで、本授業は、①国際的な私法上の法律関係の規律（狭義の国際私法）、②国際的な要素を含む紛争解決手続の規律（国際民事手続法）、③国際的な要素を含む取引の規律（国際取引法）を学ぶことで、上記のような事案を的確に分析できるようになることを目的とする。
This course aims at understanding the fundamental principles of (i) Japanese rules on conflict of laws, (ii) Japanese rules on international civil procedure, (iii) international trade law rules relevant to Japan. The students are expected to learn the practical operation of these rules and to improve the skills on how to properly apply them to cases with international elements.
「信託」及び「信託法」についての基礎的な知識と考え方を学び、「信託とは何か」「信託法はどのような法律なのか」について考察していくことを目的とする。具体的には、信託法及び信託関連法の解釈に加えて、営業信託の実務において取り扱われている信託商品を類型ごとに解説するとともに、それらの信託商品に信託法及び信託関連法がどのように適用されているのかについて検討し、非営業信託の特徴と問題点についても検討する。
The course will provide basic knowledge and ideas on trust and trust laws and will study the topics on "what is a trust" and "what kind of law is trust law?" In addition to the interpretation of the Trust Law and other laws related to trust, the course will explain various products handled in trust business and also discuss topics on how Trust Law and other laws related to trust apply to these products. We will also address the characteristics and problems of non-business trusts.
本講義では、社会問題に「法」がどのように関わっているかを学ぶことにより、問題処理能力を養うことを目的とします。法学とは、人々が共に暮らす社会をいかにして安定させるかを考える学問です。講義の中では、法についての基礎的知識を提供するとともに、それを踏まえた上で、現実の社会の具体的問題を「法的」に検討します。法を学ぶに当たっては、自分と意見を異にする人との対話が有益です。対話を通じて、物事の解決に唯一の「正解」は存在しないことを知り、自分自身で考えてみる訓練をすることが重要となります。
The objective of this course is to develop abilities in solving problems through learning how law is involved in societal issues. The study of law is an academic discipline that considers how to provide stability to society in which people live together. The lectures will provide basic knowledge about law, and on the basis of such knowledge, consider specific issues within actual society from a legal perspective.
海商法は数ある法分野のなかでも最も歴史のある法分野の一つである。本講義では、海上運送法を中心とした内容を扱い、海運大国であるわが国の経済にとってもきわめて重要となる取引に関連するルールを理解することを目的とする。
This course aims to provide basics of commercial maritime law. The lecture will focus especially on rules concerning carriage of goods by sea. Related topics and relevant judicial precedents shall also be treated.

分業社会の今日、我々は他人の財物を獲得したりサービスを受けて生活をしているが、それらの獲得手段として契約がある。この契約を法的にみるとどのようなことになるのか。とりわけ紛争が生じた場合にはどのように法的に解決されるのか。具体的に身の回りで生ずる紛争を例示しながら、民法やその他の特別法（消費者契約法・特定商取引法・割賦販売法・借地借家法、など）がどのようにルールづけているのか、つまりはどのような条文が適用されるのかを具体的にみていくことにする。さらには、条文を適用する際に条文を解釈することも必要となり、裁判所においてどのように解釈され、法律が適用されているのかも含めてみていくことにする。これにより、経済活動をルールづけている民法を具体的に知ることができるとともに、経済活動を多面的・立体的にみることもできるようになる。
またこれらを通じて、法的思考方法を理解し、身に付け、社会で起きている様々な紛争を法的にみることができるようになるとともに、権利意識を身につけることを目的とする。
This course provides explanations of the economic transaction based on the concepts of law and helps students learn how to resolve conflict by applying law, as well as deepen understanding of its court decision.
経済社会のグローバル化の進展に伴い、国際取引に対する課税の在り方が注目を集め、ビジネス界においても関係諸制度や課税当局の対応への関心が一層高まっている。本講義は、国際課税制度の基本的な考え方と構造を理解することを目的とし、法人税法などの関係国内法及び租税条約等の国際租税法の基礎的な事項を主な対象とする。
With the globalization of the economy and society, taxation on international transactions is attracting attention, and the business community is increasingly interested in related systems and tax authorities. The purpose of this course is to understand the basic concept and structure of the international taxation system, and will mainly focus on Corporation Tax Laws and other related domestic laws and international taxation rules such as tax treaties.
