【本科目は会社法I・契約法・物権法を受講済であることを前提とする。】
商法は、企業組織等の取引活動を規律する制度として、取引効率向上と取引安全維持などの需要が求められ、民法とは異なる色彩を有している。一方、国内外の取引環境の急速的変動により、商法典の形骸化と商事特別法の肥大化が進めているため、商法典の再編纂作業の動きも水面下で行われている。
この授業の目的は、上記の問題意識に照らして商人・商行為の特徴を検討し、現行の商法の合理性・非合理性を明らかにすることである。
【The course assumes that participants have already taken “Corporate Law I”, “Contract Law”, and “Property Rights Law”.】
As a system that regulates the transaction activities of business organizations, etc., Commercial Code has a different color from Civil Code, as it is required to improve the transaction efficiency and maintain the transaction security. On the other hand, due to the rapid changes in the domestic and international trade environment, the Commercial Code has become a skeleton and the special commercial laws have become bloated, and there is a movement to recompile the Commercial Code.
The purpose of this lecture is to examine the characteristics of merchants and commercial practices in light of the above issues, and to clarify the rationality and irrationality of the current Commercial Code.

この授業の目標は、民法と商法の出発点の違いを理解し、商法の機能とその基本原理を説明できるようになることである。
The objective of this lecture is to enable the participants to understand the difference between the starting point of civil law and commercial law and to be able to explain the functions of commercial law and its basic principles.
期末の筆記試験による。
Based on a written examination at the end of the semester.

講義は重要事項のみに焦点を当て、細部までカバーすることはない。そのため、授業前にテキストの予定部分を読み、授業後は自習することが求められる。適宜、経済紙等を参照し、学習を深める。
The lecture will focus only on important issues and will not cover every detail. Therefore, participants are expected to read the scheduled portions of the text before class and study the text on their own after class. As appropriate, participants will be referred to business newspapers and other sources to further your learning.
