授業の目的と概要

【本科目は会社法Iを受講済であることを前提とする。】
会社法Ⅱでは、会社の設立、計算、組織再編、組織変更及び解散と清算に関する部分を扱う。その中、ハードローと裁判例だけではなく、近時のソフトローの動向も踏まえて、実務の全体像を把握する必要性がある。

【The course assumes that participants have already taken “Corporate Law I”.】
The main topics of this lecture will be the following: incorporation, accounting, M&A, organizational restructuring, dissolution and liquidation. In this context, it is necessary to understand the full picture of practice, not only in terms of hard law and court cases, but also in light of recent soft law trends.

学習の到達目標

この授業の目標は、組織再編等の制度趣旨を理解した上で、その基本原理と手続きを説明できるようになることである。

The objective of this course is to have an understanding of the purpose of reorganization, etc. and to be able to explain the basic principles and procedures.

成績評価方法

期末の筆記試験による。
Based on a written examination at the end of the semester.

授業時間外学習

講義は重要事項のみに焦点を当て、細部までカバーすることはない。そのため、授業前にテキストの予定部分を読み、授業後は自習することが求められる。適宜、経済紙等を参照し、学習を深める。

The lecture will focus only on important issues and will not cover every detail. Therefore, participants are expected to read the scheduled portions of the text before class and study the text on their own after class. As appropriate, participants will be referred to business newspapers and other sources to further your learning.
